Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TaxWhizz.ai platform, website, and related services (collectively, the "Platform") operated by TaxWhizz.ai Ltd ("TaxWhizz.ai", "we", "us", or "our"), a company registered in England & Wales.

Please read these Terms carefully before using the Platform. By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Platform, you confirm that:

  • You have read, understood, and agree to be bound by these Terms
  • You have read and acknowledge our Privacy Policy
  • You have read and acknowledge our Cookie Policy
  • You have the legal capacity to enter into a binding agreement
  • You are accessing the Platform on your own behalf, or you are duly authorised to accept these Terms on behalf of your employer or another entity

If you are accepting these Terms on behalf of a company, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

2. Service Description

TaxWhizz.ai is an AI-powered tax intelligence platform that provides:

  • Tax Calculations: Automated income tax, National Insurance, capital gains tax, corporation tax, VAT, dividend tax, student loan, pension relief, stamp duty, and other UK tax computations using current HMRC rates and thresholds
  • AI Tax Assistant: An artificial intelligence-powered conversational interface providing tax information and guidance based on UK tax legislation
  • Professional Tools: Self Assessment (SA100) preparation, Corporation Tax (CT600) computation, payroll processing, R&D tax credit calculations, salary vs. dividends optimisation, and other professional-grade tools
  • Document Analysis: AI-powered analysis of tax documents, HMRC correspondence, financial statements, and other uploaded files
  • HMRC Integration: Preparation and submission of tax returns to HMRC (where authorised by the user)
  • Company Accounts: Preparation of statutory accounts under FRS 102 and FRS 105, management accounts, and audit documentation
  • Bookkeeping: Bank reconciliation, trial balance, journal entries, and year-end adjustment tools
  • Tax Intelligence: HMRC correspondence decoder, tax radar for legislative changes, tax calendar, and planning scenarios

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Be a UK resident, or have UK tax obligations (such as UK-source income, UK property, or UK business activities)
  • Provide accurate and complete registration information
  • Not have been previously suspended or removed from the Platform
  • Not be prohibited from using the Platform under applicable laws

We reserve the right to verify your eligibility at any time and to refuse or terminate access if you do not meet these requirements.

4. Account Registration & Security

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Not share your account credentials with any third party
  • Immediately notify us at legal@taxwhizz.ai of any unauthorised access to or use of your account
  • Accept responsibility for all activities that occur under your account

You may register using your email address and a password, or through Google OAuth authentication. We reserve the right to disable any account at any time if, in our reasonable opinion, you have failed to comply with these Terms.

5. Subscription Plans & Tiers

The Platform offers the following subscription tiers, each with different features and usage limits:

5.1 Free Tier

Basic access to the Platform with limited calculations per month, basic tax calculator access, and limited AI assistant interactions. Designed for individuals exploring the Platform.

5.2 Starter

Enhanced access including additional calculation capacity, full calculator suite access, extended AI assistant usage, and basic document upload capability. Suitable for individuals with straightforward tax affairs.

5.3 Professional

Full access to all calculators, professional tools (SA100, CGT, IHT, pension planning), unlimited AI assistant usage, document analysis, HMRC submission preparation, and priority support. Designed for individuals with complex tax affairs or freelancers.

5.4 Business

Everything in Professional, plus corporation tax (CT600), VAT, payroll, R&D tax credits, company accounts preparation, management accounts, bookkeeping suite, multi-entity support, and dedicated support. Designed for small businesses and sole traders.

5.5 Advisor / Enterprise

Full Platform access with multi-client management, bulk processing, API access, white-label options, audit tools, custom integrations, dedicated account management, and SLA-backed support. Designed for accounting firms and tax advisory practices.

Feature availability and usage limits for each tier are detailed on our Pricing page and may be updated from time to time.

6. Payment Terms

6.1 Billing

All paid subscriptions are billed in British Pounds Sterling (GBP). Payments are processed securely through Stripe, our third-party payment processor. We do not store your full payment card details on our servers.

6.2 Recurring Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). By subscribing to a paid plan, you authorise us to charge your chosen payment method at the beginning of each billing cycle. Annual subscriptions are charged as a single upfront payment for the full year.

6.3 Price Changes

We reserve the right to change our subscription prices. Any price changes will take effect at the start of your next billing cycle following at least 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at legal@taxwhizz.ai. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • Your account will revert to the Free tier at the end of the paid period
  • Your data will be retained in accordance with our Privacy Policy

6.5 Refund Policy

We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied with the Platform within the first 14 days of your initial paid subscription, you may request a full refund by contacting legal@taxwhizz.ai. After this 14-day period, subscriptions are non-refundable except where required by applicable consumer protection law. Refunds for annual subscriptions requested after the 14-day period will be assessed on a case-by-case basis.

6.6 Failed Payments

If a payment fails, we will attempt to process it again over the following days. If payment cannot be collected after reasonable attempts, we may downgrade or suspend your account until payment is successfully processed.

7. Free Trial

We may offer free trial periods for paid subscription tiers from time to time. During a free trial:

  • You will have access to the features of the specified paid tier
  • No payment will be charged during the trial period
  • At the end of the trial, your subscription will automatically convert to a paid subscription at the applicable rate unless you cancel before the trial ends
  • Each user is eligible for one free trial only; creating multiple accounts to obtain additional trials is prohibited

We reserve the right to modify or discontinue free trial offers at our discretion without prior notice.

8. Intellectual Property

8.1 Our Intellectual Property

The Platform, including its source code, algorithms, AI models, design, text, graphics, logos, icons, images, data compilations, software, and all other content and materials (collectively, "Our Content"), is the property of TaxWhizz.ai Ltd or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws of England & Wales and international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose in accordance with these Terms. This licence does not include the right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, or create derivative works from the Platform
  • Reverse engineer, decompile, or disassemble any software or technology used in the Platform
  • Use any data mining, robots, or similar automated data gathering tools on the Platform
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Use the TaxWhizz.ai name, logos, or trademarks without our prior written consent

8.2 User Content Licence

You retain ownership of all data, documents, and content you submit to the Platform ("User Content"). By uploading or submitting User Content, you grant TaxWhizz.ai a limited, non-exclusive, worldwide, royalty-free licence to use, process, store, and transmit your User Content solely for the purpose of providing and improving the Platform services. This licence terminates when you delete your User Content or your account, subject to our data retention obligations.

9. User Content & Document Uploads

9.1 Your Data Remains Yours

All financial data, tax information, documents, and other content you provide to the Platform remain your property. We do not claim ownership over your User Content.

9.2 Document Uploads

When you upload documents to the Platform for AI-powered analysis, you:

  • Warrant that you have the right to upload and share such documents
  • Acknowledge that documents will be processed by our AI systems (including third-party AI providers such as Anthropic) for the purpose of analysis
  • Understand that while we implement robust security measures, no system is completely immune to risk
  • May delete uploaded documents at any time through your account settings

9.3 Prohibited Content

You must not upload, submit, or transmit any content that:

  • Is unlawful, fraudulent, deceptive, or misleading
  • Infringes any third party's intellectual property or privacy rights
  • Contains viruses, malware, or other harmful code
  • Relates to the facilitation of tax evasion or other illegal activities
  • Contains data you are not legally authorised to disclose

10. AI & Tax Calculation Disclaimer

This section contains important disclaimers regarding the nature of our services. Please read it carefully.

TaxWhizz.ai provides tax calculations and information for guidance purposes only. Our platform does not constitute professional tax, legal, or financial advice. While we strive for accuracy using current HMRC rates and legislation, users should consult a qualified professional for complex tax situations.

Specifically, you acknowledge and agree that:

  • Tax calculations are based on the information you provide and the HMRC rates and thresholds current at the time of calculation. Accuracy depends on the completeness and correctness of your input data.
  • Our AI assistant provides general information based on UK tax legislation. It may not account for every individual circumstance, exemption, relief, or recent legislative change.
  • AI-generated responses should be treated as informational starting points, not definitive professional opinions.
  • Use of the Platform does not create an accountant-client, solicitor-client, or any professional advisory relationship between you and TaxWhizz.ai.
  • You are solely responsible for the accuracy and completeness of any tax returns or submissions filed with HMRC, whether or not they were prepared using the Platform.
  • We strongly recommend consulting a qualified chartered accountant (ICAEW, ACCA), chartered tax adviser (CTA), or other regulated professional for complex tax matters, significant financial decisions, or situations involving substantial sums.

11. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform to facilitate tax evasion, money laundering, fraud, or any other illegal activity
  • Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or our systems
  • Introduce viruses, trojans, worms, or other malicious or technologically harmful material
  • Conduct any systematic or automated data scraping, mining, extraction, or harvesting
  • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Use the Platform to compete with TaxWhizz.ai or to build a similar or competing product
  • Resell, sublicense, or provide access to the Platform to third parties without authorisation
  • Use automated tools, bots, or scripts to access the Platform beyond permitted API usage
  • Circumvent any rate limits, access controls, or security measures implemented on the Platform

12. API Usage & Rate Limits

Where your subscription tier includes API access, the following terms apply:

  • API access is subject to rate limits specific to your subscription tier, as documented in our API documentation
  • API credentials are confidential and must not be shared, published, or embedded in client-side code
  • You must implement appropriate error handling, retry logic with exponential backoff, and respect rate limit headers
  • API usage must comply with these Terms and our Acceptable Use Policy
  • We reserve the right to throttle, suspend, or revoke API access for abuse, excessive usage, or violations of these Terms
  • We may modify the API, including endpoints, request/response formats, and rate limits, with reasonable notice

13. Service Availability

We aim to maintain Platform availability of 99.9% uptime measured on a monthly basis, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted access to the Platform.

The Platform may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavour to provide advance notice)
  • Emergency maintenance to address security vulnerabilities or critical issues
  • Factors beyond our reasonable control, including internet service disruptions, third-party service outages, and force majeure events
  • High demand periods, particularly around HMRC filing deadlines (31 January, 31 October, etc.)

We will use commercially reasonable efforts to restore the Platform promptly following any disruption and to communicate the status of any significant outages.

14. Limitation of Liability

14.1 Exclusion of Certain Damages

To the fullest extent permitted by applicable law, TaxWhizz.ai, its directors, officers, employees, agents, and affiliates shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, savings, or anticipated savings
  • Loss of data or data corruption
  • Loss of goodwill or reputation
  • Any damages arising from tax penalties, interest charges, or HMRC enquiries resulting from reliance on the Platform
  • Any damages arising from errors in tax calculations, whether caused by incorrect user input, software errors, or outdated tax rates

14.2 Aggregate Liability Cap

Our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Platform shall not exceed the greater of:

  • The total fees paid by you to TaxWhizz.ai in the 12 months immediately preceding the event giving rise to the claim; or
  • £100 (one hundred pounds sterling)

14.3 Statutory Rights

Nothing in these Terms shall exclude or limit our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law, including your statutory consumer rights under the Consumer Rights Act 2015.

15. Indemnification

You agree to indemnify, defend, and hold harmless TaxWhizz.ai, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your User Content or documents uploaded to the Platform
  • Any inaccurate, incomplete, or misleading information you provide
  • Any tax return or submission filed with HMRC using data generated by the Platform
  • Any third-party claim arising from your use of the Platform

16. Termination & Suspension

16.1 Termination by You

You may terminate your account at any time by contacting us at legal@taxwhizz.ai or through your account settings. Upon termination:

  • Your active subscription will continue until the end of the current billing period
  • You may request export of your data before account closure
  • We will retain certain data as required by law and our Privacy Policy

16.2 Termination or Suspension by Us

We may suspend or terminate your account immediately and without prior notice if:

  • You breach any provision of these Terms
  • We reasonably suspect fraudulent, illegal, or abusive activity
  • Your account is used to facilitate tax evasion or other illegal activity
  • You fail to pay applicable subscription fees after reasonable notice
  • Required by law, regulation, or order of a court or regulatory body
  • Continued provision of the Platform to you would pose a security risk

16.3 Effect of Termination

Upon termination, your right to access and use the Platform will cease immediately. Provisions that by their nature should survive termination will survive, including but not limited to: intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

17. Data Protection

We are committed to protecting your personal data in accordance with the UK GDPR and the Data Protection Act 2018. Full details of how we collect, use, store, and protect your personal data are set out in our Privacy Policy, which forms part of these Terms.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the processing of your data as described therein.

18. Third-Party Services

The Platform integrates with and relies upon third-party services, including but not limited to:

  • Stripe: Payment processing and subscription billing
  • Anthropic (Claude): AI language model powering our tax assistant and document analysis
  • Google: Authentication (OAuth) and analytics
  • HMRC: Tax return submission APIs (where you authorise submissions)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services. Any outage or issue with a third-party service may affect Platform functionality.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Provide at least 30 days' advance notice before the changes take effect
  • Notify you via email to the address associated with your account
  • Display a prominent notice on the Platform
  • Update the "Last updated" date at the top of this page

Your continued use of the Platform after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and may cancel your subscription in accordance with Section 6.4.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and TaxWhizz.ai regarding your use of the Platform. These Terms supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the Platform.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

22. Governing Law & Dispute Resolution

22.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England & Wales, without regard to conflict of law principles.

22.2 Mediation

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) before commencing court proceedings.

22.3 Jurisdiction

Subject to the mediation requirement above, the courts of England & Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms. If you are a consumer, you may also be entitled to bring proceedings in the courts of your country of residence.
